ChefSync

1. Acceptance of the Terms

This document establishes the Terms and Conditions of Use (hereinafter, the 'Terms') that govern access to and use of the technology platform called ChefSync (hereinafter, the 'Platform'), developed and administered by WebNova, a Colombian company domiciled in Bucaramanga, Santander.

By registering, accessing, or using the Platform, the user (hereinafter, the 'User') declares that they have read, understood, and fully accepted these Terms. If they disagree with any provision, they must refrain from using the Platform.

2. Purpose of the Platform

ChefSync is a technological solution designed for the comprehensive management of food-service businesses, enabling storage, analysis, and optimization of information related to sales, products, inventory, costs, and operational performance.

The service is provided through a cloud platform (SaaS), accessible from compatible browsers or applications.

3. User Registration

To access the services, the User must register by providing truthful, complete, and up-to-date information, including:

• First and last names

• Email address

• Contact phone number

• Establishment name and Tax ID (NIT) (if applicable)

The User is responsible for the truthfulness and updating of the information provided. WebNova may suspend or cancel accounts containing false, incomplete, or inconsistent data.

Access to the Platform is personal and non-transferable. The User must keep their credentials confidential. WebNova will not be liable for misuse, loss, or unauthorized access resulting from the User's negligence.

4. Free Trial

ChefSync may offer free trial periods for new users to explore the platform.

During this period, access is temporary and limited to the functionalities provided by WebNova.

Creating multiple free accounts to improperly extend the trial period or avoid payments is prohibited.

If such behavior is detected, WebNova may suspend or block the accounts involved, associated IP addresses or devices, and deny future access to the service.

Detection is carried out using automated security mechanisms, cookies, device fingerprints, and behavioral analysis, in accordance with applicable data protection regulations.

5. Plans, Payments, and Billing

Use of ChefSync beyond the trial period requires an active subscription according to the plan selected by the User.

Prices, features, and conditions of each plan are clearly stated on the Platform. Payments are processed through authorized secure gateways.

The User is responsible for keeping billing information and payment methods up to date. Non-payment or rejection may result in temporary or permanent suspension of the service.

6. Processing of Personal Data

In compliance with Law 1581 of 2012 and Decree 1377 of 2013, the User grants prior, express, and informed authorization to WebNova to collect, store, process, and use personal and operational data generated on the Platform, for the following purposes:

• Improve service quality, security, and personalization.

• Develop new features and product versions.

• Produce statistical analyses, market studies, and industry projections.

• Conduct communication, marketing, and segmentation campaigns.

• Share information with strategic partners, associates, or technology providers under strict confidentiality agreements.

The User may exercise their rights of access, rectification, cancellation, and opposition (ARCO) by sending a written request to privacidad@webnova.com.co.

7. Security, Monitoring, and Fraud Prevention

ChefSync employs automated and manual activity monitoring mechanisms to ensure system security and integrity.

The User agrees that WebNova may log, analyze, and audit actions performed within the Platform, including access events, data movements, usage patterns, and unusual operations.

If anomalies, fraud, or suspicious behavior are detected, such as data manipulation, intrusion attempts, unauthorized use of multiple accounts, or illegal activities, WebNova may:

• Suspend or delete the accounts involved.

• Block access by IP address, device, or fingerprint.

• Temporarily or permanently restrict use of the Platform.

• Report the facts to the competent authorities in accordance with Law 1273 of 2009 (Computer Crimes).

These measures aim to protect both the startup and legitimate users.

8. Intellectual Property

All content, code, design, algorithms, databases, technical documentation, interfaces, and trademarks associated with ChefSync are the exclusive property of WebNova and are protected by Colombian and international intellectual property laws.

No ownership rights over the software are granted to the User, only a limited, revocable, and non-exclusive license to use it under the terms described herein.

9. Modifications to Prices, Plans, and Commercial Conditions

WebNova may modify prices, plans, functionalities, or commercial conditions of the Platform at any time.

Any change directly affecting costs or benefits to the User will be notified with the advance notice required by Law 1480 of 2011 (Consumer Statute), via email or notice on the Platform.

Continued use of the service once the modifications take effect constitutes express acceptance of the new terms.

10. Technical Support and Availability

WebNova provides remote technical support during business hours through channels defined on the Platform or by email.

While reasonable efforts are made to ensure continuous service availability, the User understands that temporary interruptions may occur due to maintenance, updates, or circumstances beyond the startup's control.

11. Cancellation and Termination

The User may cancel their subscription at any time from their account or via email.

WebNova may suspend or terminate User access in cases of breach of these Terms, non-payment, fraud, system abuse, or misuse of the software.

User information may be retained for the time necessary to comply with legal or contractual obligations.

12. Limitation of Liability

ChefSync is offered 'as is'. WebNova does not guarantee specific results and is not responsible for information loss resulting from misuse, connection failures, or User actions.

In no case shall WebNova be liable for indirect damages, loss of profits, business interruptions, or economic damages arising from use or inability to use the Platform.

13. Modifications to the Terms

WebNova may modify these Terms at any time.

The new version will take effect upon publication on the Platform, and continued use of the service will imply acceptance of the changes.

14. Applicable Law and Jurisdiction

These Terms are governed by the laws of the Republic of Colombia.

Any dispute arising from the interpretation or execution of this document shall be resolved before the competent judges of Bucaramanga, Santander, unless the parties have previously agreed to an alternative dispute resolution mechanism.
